1. Definitions

  • Client: The individual or organization engaging ACD Solutions for business consulting or business opportunity services.
  • ACD Solutions: The consulting firm providing advisory services, strategy development, and business opportunity facilitation.
  • Project: The specific consulting work, research, or services outlined in the project proposal or agreement.
  • Deliverables: Any reports, analyses, recommendations, connections, or materials produced as part of the consulting or opportunity facilitation services.

2. Engagement of Services

2.1. The Client agrees to engage ACD Solutions for business consulting or business opportunity services as specified in the project proposal or agreement.

2.2. ACD Solutions commits to delivering these services with expertise, professionalism, and reasonable effort within the agreed timeframes.

3. Payment Terms

3.1. Payment for consulting services will be outlined in the project proposal or agreement.

3.2. ACD Solutions may require an initial deposit or milestone-based payments as detailed in the agreement.

3.3. If changes to the project scope or additional services are needed, ACD Solutions will provide a cost estimate. Any additional work will require mutual agreement in writing.

4. Project Timeline

4.1. ACD Solutions will provide an estimated completion timeline for the project. This timeline may be adjusted due to unforeseen circumstances or delays on the Client’s part.

5. Revisions and Feedback

5.1. The Client has the right to provide feedback and request revisions as specified in the project proposal. Revisions beyond the agreed scope may result in additional charges.

6. Ownership and Rights

6.1. Upon full payment, the Client will own the final Deliverables of the consulting project, except for proprietary methods or frameworks used by ACD Solutions.

6.2. ACD Solutions reserves the right to use non-confidential aspects of the project for portfolio or promotional purposes unless otherwise agreed in writing.

7. Confidentiality

7.1. Both parties agree to maintain the confidentiality of all proprietary, business-sensitive, or confidential information shared during the project.

7.2. ACD Solutions will not disclose the Client’s proprietary business strategies or materials to third parties without written consent.

8. Termination

8.1. Either party may terminate the project with written notice. The Client is responsible for payment for work completed up to the termination date, including any non-refundable fees outlined in the agreement.

8.2. In the event of termination, all Deliverables completed up to that point will be provided to the Client, and ACD Solutions will cease any further services.

9. Liability

9.1. ACD Solutions is not responsible for financial, operational, or strategic outcomes resulting from consulting advice, introductions to opportunities, or Deliverables.

9.2. The Client agrees to indemnify and hold ACD Solutions harmless from any claims, damages, or losses arising from the implementation of recommendations or business decisions.

10. Governing Law

10.1. This agreement shall be governed by the laws of the United States. Any disputes arising from this agreement will be subject to the jurisdiction of the appropriate U.S. courts.
